Terms of Use for Appraisal Agency
Party A : Kanu Card Co., Ltd.
Party B : [ Name of Contractor ]
Article 1: Contents of the commissioned work
1.1 Party A and Party B shall enter into a contract (hereinafter referred to as the "Agreement") with respect to the entrustment of Party A's business (hereinafter referred to as the "Business") under the following conditions.
1.2 This business is an agency service for PSA appraisal ( grading ) , and Party A will act as the appraisal agent and deliver the products after appraisal.
1.3 This Agreement applies only to Pokémon cards ( 8.8 cm x 6.3 cm). Special cards such as autographed cards, jumbo cards, proxies, and unopened packs cannot be appraised. Re-appraisals (reholders) are also not covered by this Agreement.
Article 2 Payment Terms
2.1 Party B shall pay the service commission fee based on the application in two installments, with Party B paying a portion of the commission fee at the time of the first request and the remaining amount upon completion of the appraisal, by a method separately specified by Party A (all various fees will be borne by Party A).
2.2 Party B will ship to Party A the number of items ordered on Party A's website. If Party A ships fewer items than the number ordered, Party A will not refund Party B and will add the excess amount to the second invoice.
2.3 If the yen weakens by 2 yen or more to the dollar from the exchange rate at the time of the contract, Party B shall bear the difference. The difference will be adjusted by adjusting the amount of the second invoice.
Article 3 Conditions for application
3.1 When applying, Party B will set a declared price for the Card to Party A. The declared price shall be calculated based on the current market value of the Card being applied for and must be set within the range of each plan.
3.2 Due to fluctuations in the market value of the card, the plan may be changed during the execution of this business, and Party B will bear the difference in the price of the changed plan plus a handling fee of 980 yen (tax included). This applies to changes in plan for each card, and if the declared price is currently at the upper limit, it is recommended to change to the next higher plan.
Article 4 Appraisal Guarantee
4.1 Cards received from Party B at the time of the initial application will be provisionally appraised by Party A and Party A will select the Cards to be entrusted to the entrusting company ( PSA ). Cards not to be entrusted will be returned to Party B within 10 days using a specific delivery service (Yamato Transport, Sagawa Express, Japan Post, etc.).
4.2 If the appraisal results of the commissioning company ( PSA ) show that the PSA10 certification rate falls below 70 %, Party A will refund to Party B the provisional appraisal fee for the difference in the number of coins. (Example: If an application is made for appraisal of 10 coins, of which 6 are PSA10 and 4 are PSA9 . In this case, the PSA10 certification rate is 6/10 , or 60 %, so Party A will refund to Party B the provisional appraisal fee for one coin, which is the difference in the number of coins.) The refund of the provisional appraisal fee will be made by adjusting the amount of the second invoice.
4.3 With regard to the refund under 4.2 , only the provisional appraisal fee will be refunded, and the appraisal fee paid by the entrusting company ( PSA ) will not be refunded.
Article 5 : Warranty
5.1 If damage occurs to a card during the preparation of this service, Party A will calculate the amount of compensation based on the declared price by Party B and make compensation.
5.2 In the event of damage to a card before appraisal by the entrusting company ( PSA ), Party A shall compensate the card at the lower of the declared price or the market price at the time. In the event of damage attributable to the entrusting company ( PSA ), Party A's compensation shall be the amount of the entrusting company's ( PSA ) guarantee.
5.3 Compensation for damages under 5.1 and 5.2 shall be limited to cases where Party A has acted intentionally or negligently.
Article 6 Conditions for Appraisal
6.1 Market price and appraisal results shall be in accordance with the valuation by PSA .
6.2 No advance notice will be given regarding the progress of the appraisal.
Article 7 Other Conditions
7.1 Party B cannot specify the appraisal number of the card applied for.
7.2 Party B must receive the authenticated card within 90 days of the second request. If the card is not received within the specified period, it will be disposed of by our company.
7.3 If the commissioning company ( PSA ) finds that the card is a counterfeit or has been repaired during the appraisal, the card may be returned without being appraised. In such cases, the appraisal fee for the card in question will not be refunded.
7.4 If you wish to change or cancel your course after registration, you may do so after paying 15 % of the first payment. For any changes, 15 % of the first payment will be added to the second invoice.
7.5 If the card is a replica or cannot be authenticated, it will be returned to the trustee ( PSA ) without being authenticated. In such case, Party A will not refund any fees paid by Party B.
7.6 The appraisal period may be extended due to reasons such as the information of the entrusting company ( PSA ) not being updated.
7.7 Cancellation of an application can be made only before the request to the entrusted company ( PSA ) by paying a fee ( 15 % of the first payment). The remaining amount will be refunded by adjusting the amount of the second invoice.
7.8 After the appraisal is completed, if tax is imposed when the Goods are imported into Japan by the entrusted company ( PSA ), Party B shall pay it.
Article 8 Exclusion of Antisocial Forces
8.1 Party A and Party B each represent and warrant that they, their officers, and those engaged in the Business are not members of anti-social forces.
8.2 Neither Party A nor Party B shall use threatening language or violence against the other party, or interfere with the other party's business by force or fraudulent means.
8.3 If the other party violates any of the preceding paragraphs, the other party may immediately terminate this Agreement without any notice. In such case, the terminating party shall not be precluded from claiming damages against the other party.
Article 9 Handling of Personal Information
9.1 Party A will not use Party B's personal information for any purpose other than this Agreement.
Article 10 Confidentiality
10.1 Party A and Party B shall not disclose or leak to a third party the fact of the conclusion of this Agreement, or any confidential information of the other party that they have come to know in relation to this Agreement or in the course of carrying out the Commissioned Work, without the prior written consent of the other party, and shall not use such information for any purpose other than the performance of this Agreement. However, this shall not apply if certain conditions apply.
Article 11 Prohibition of Transfer of Rights
11.1 Neither Party A nor Party B may transfer this Agreement or any rights or obligations acquired under this Agreement to a third party or use them as security without the prior written consent of the other party.
Article 12 Establishment
12.1 This Agreement accurately describes the content of the transaction and is concluded with the consent of both parties.
